KEY PURPOSE OF THIS JOB 

Develop and lead implementation of Legal, Compliance and Risk Management Strategies. Partner with the business, understand its issues and produce viable legal solutions that enable the business to make commercially savvy decisions. Capacitate the Group with adequate Legal, Compliance and Risk management capabilities whilst serving as primary legal counsel for the Group on Strategic matters.

Reporting to the Chief Executive Officer. 


Main Outputs and Responsibilities for This Position

  • Understand the business pressure points, strategy and objectives of the business and effectively communicate the risks and legal issues involved in any decision to management e.g.
    • Stock Exchange Listings;
    • Acquisitions;
    • Divestments;
  • Manage efficiencies by responding to increased pressure on legal costs whilst managing risk requires a deep understanding of what drives the cost base and influences the profit line of the business;
  • Appointment of a panel of preferred legal advisors and the development of close working relationship with those firms;
  • Distil and understand the impact of Group Strategic thrust and other areas of the organisation in relation to the law and applicable regulations;
  • Advise the Board(s), Executives and CEO on how to navigate the impact of the regulatory universe and how best to brief external Legal Counsel where applicable;
  • Develop an integrated annual Business Plan governing Risk, Compliance, Legal, Secretarial Services and Governance to execute on the organisational strategy;
  • Collaborate with the ‘Divisional and Functional Heads’ to develop the Policies and be the custodian of relevant policies;
  • Oversee the implementation of compliance supporting systems and structures;
  • Develop an enterprise wide risk management framework and implement the roll out of the applicable systems, structures and software;
  • Provide a legal ‘centre of excellence’ to all Group Entities in the provision of legal advice and support;
  • Oversee and manage all the contractual arrangements entered by all Group;
  • Monitor and evaluate the Group’s adherence to compliance regulations in the conduct of its business from time to time in the capacity of regulatory custodian;
  • Produce reports on governance, legal, compliance and risk for submission to the various stakeholders;
  • Oversee, and maintain risk register in respect of the relevant entities;
  • Liaise closely with the CFO’s in playing an integral role in the development, management, oversight and reporting on the internal audit function;
  • Set up, and oversee the Group’s Company Secretarial and Board Governance function;
  • Interface with governmental and regulatory stakeholders at local/international level;
  • Identify, anticipate and communicate corporate risks (financial, criminal, regulatory, reputational, contractual, related to anti-trust, Mergers & Acquisitions, Labour and Insurance) and to suggest mitigation strategies;

Formal Education: 

  • LLB or LLM (Commercial Law/Tax Law)
  • Admitted attorney/Advocate

Experience:

  • 10-15 years’ experience as Senior Counsel or Partner or legal and compliance management role(s) in the mining industry.
  • Experience in leading Risk and Compliance functions;
  • Practical experience working in a Listed environment;
  • Resources, Exploration or Mining experience is preferred;
  • Experience in jurisdictions outside of SA is an advantage;
